T4: PT Indonusa 49% Phase 1 rising to majority Phase 3. Yacht Sourcing 70% target. KLI 5-10% optional minority. PT Elysium Charter 100% via PT Elysium Marinas. Licences marked (held) are confirmed existing. HI Campus accreditation transferability must be confirmed pre-acquisition.
Yayasan structure notes
Yayasan has no shareholders. Singapore HoldCo acts as founding entity only - appointees fill the supervisory board. Non-profit CIT exemption applies to programme income used for stated social purposes. Restricted grants from UNESCO, IUCN, UNDP, and philanthropic foundations flow to Yayasan, not the PT. Hospital requires separate Kemenkes licence and KARS accreditation. ISO 26000 is self-declared, not certifiable.
PT Elysium Charter - Reform dependency
This entity is contingent on Reform 03 (Pariwisata Bahari SIOPSUS sub-category) and Reform 06 (vessel import duty relief) from the Indonesian Marine Regulatory Review v2. Reform 03 requires a new Kemenhub Ministerial Regulation - estimated 12-18 months. Dual-flagging mechanism: Indonesian primary flag satisfies cabotage intent; secondary flag (Cayman / Marshall Islands or equivalent) maintains access to international P&I clubs and hull insurers. Incorporate only after Reform 03 instrument is confirmed in draft.
